OFFICIAL RULES

To enter this Giveaway, you must agree to and abide by these official rules (“Official Rules”).

This Giveaway is independent of the It’s A Wonderful Lifetime “30 Days of Merry Giveaways” Giveaways being offered simultaneously by Sponsor on the website. Each Giveaway features its own prizing which is available to be won at different odds of winning. You may enter one or more of the Giveaways, as you wish.

1. Sponsor: A&E Television Networks, LLC, d/b/a A+E Networks, 235 E 45th St, New York, NY 11017 (“Sponsor”).

2. Administrator: Probability LLC, 2 Woodstock Meadows Ln, PO Box 1484, Woodstock, NY 12498 (“Administrator”).

3. Eligibility: There will be thirty (30) individual It’s A Wonderful Lifetime “30 Days of Merry” Giveaways (each a “Giveaway” and collectively the “Giveaways”). Each Giveaway is open only to legal residents of the fifty (50) United States and the District of Columbia, who are at least eighteen (18) years of age (or age of majority in their jurisdiction of residence, whichever is older) at time of entry, have internet access/valid e-mail address as of November 25, 2021. Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for Sponsor, Administrator, Telescope Inc., related entities, any prize providers, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Giveaways and/or their respective parent, subsidiary, affiliated, distributors and successor companies, and immediate family and household members of such individuals, are not eligible to participate or win a prize. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. "Household Members" shall mean people who share the same residence at least three months a year, whether related or not. Potential winners may be required to provide proof of legal residency upon request prior to prize award. Void in Guam, Puerto Rico, U.S Virgin Islands and other U.S. Territories, and where prohibited or restricted by law.

4. Giveaway Schedule: Giveaway begins on or about 12:00:01 a.m. Eastern Time (“ET”) on November 26, 2021 and ends at 11:59:59 p.m. ET on December 25, 2021 (“Promotion Period”). There will be thirty (30) separate and distinct Giveaway Periods each with its own prize (“Giveaway Period”) comprising the Promotion Period. Sponsor’s computer is the official clock for the Giveaway.

5. How to Participate: During the Promotion Period, navigate the internet to https://www.mylifetime.com/holidaygames (the "Website") and locate the "30 Days of Merry Giveaways " image/link which is found on the Website’s homepage. Click the image to navigate to the giveaway tab. If you are not logged in, you will be asked to sign in and/or register. When prompted, enter your e-mail address (your e-mail address will only be used to contact you if you are the potential Prize winner) and check the box acknowledging that you have read and agree to these Official Rules. YOU WILL NOT BE ABLE TO PARTICIPATE IN THE GIVEAWAY AND SEE IF YOU ARE A POTENTIAL WINNER IF YOU DO NOT FIRST AGREE TO THE OFFICIAL RULES. Once logged in, there will be a different image/link for each day of the Giveaway. Then click the "unwrap" button (“Entry”) underneath the daily giveaway image. Only one giveaway will be available per day. Upon selecting unwrap, a virtual card will be presented. Entrants must uncover the designated area of the virtual card to reveal the message. If the message reveals “Congratulations! We will contact you to redeem your prize. If you are the potential winner for the corresponding Giveaway, the notification will also indicate the prize you won subject to verification. SCREEN SHOTS OF THE PRIZE MESSAGE ARE NOT PROOF OF WINNING; YOU ARE NOT A WINNER OF ANY PRIZE, EVEN IF THE GIVEAWAY SHOULD SO INDICATE, UNLESS AND UNTIL YOUR ELIGIBILITY AND THE POTENTIALLY WINNING PLAY HAVE BEEN VERIFIED BY ADMINISTRATOR

   Each of the thirty (30) Giveaway Periods contain ONE (1) winning play that correlates to a certain specific prize, as discussed below. Accordingly, you should only submit an entry during a particular Giveaway Period if you are interested in winning the prize offered for that Giveaway Period. Each Giveaway Period’s winning play is independent from the winning plays allocated to the other twenty-nine (29) Giveaway Periods.

   During the entry process, you may be asked to consent to receive promotional and reminder e-mails from Sponsor. Consenting to receive promotional and/or reminder e-mails is optional and does not have to be agreed upon in order to be eligible to participate in the Giveaway and does not improve your chances of winning. In the event you do consent to receive these e-mails, the use of such e-mails shall be subject to the privacy policy at https://www.aenetworks.com/privacy. You may opt out of receiving these e-mails at any time.

   Limit one (1) Entry per person/e-mail address per Giveaway Period. Participation must be effected in accordance with these Official Rules. Multiple entries in excess of this limitation or mass entry attempts will result in disqualification of all entries by such person as well as exclusion from participation in any remaining Giveaways. Entries must be manually key-stroked; use of automated entry devices or programs or any other means of participation not authorized by and in compliance with these Official Rules is not legitimate and is prohibited; use of automated entry devices/programs will result in automatic disqualification. Once submitted, entries become the sole property of Sponsor, cannot be modified by entrant, and will not be returned.

   If you opt to access the Website and participate in the Giveaway via your wireless mobile device, data rates may apply for each message sent or received from your handset according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges as well as charges for wireless Internet access) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers’ rate plans may vary, and you should contact your wireless carrier for more information on messaging rate plans and charges relating to your participation in this Giveaway. Mobile device service may not be available in all areas. Check your phone’s capabilities for specific instructions.

   Entries that do not conform to or that violate these Official Rules or are submitted in any manner other than stated in these Official Rules will be disqualified. Sponsor and Administrator will not be responsible for late, lost, incomplete, or misdirected entries or prize claims; submission of entry forms will do not result in game play for any reason beyond the control of Sponsor/Administrator or for technological, network, programming, or electronic error/failure/malfunction of any kind. All Entries must be received prior to the conclusion of the applicable Giveaway Period provided that a winning play has not occurred prior to the conclusion of the applicable Giveaway Period. By entering this Giveaway, entrants agree to these Official Rules and the decisions of the Administrator and Sponsor, which are binding and final in all matters relating to this Giveaway.

6. Winner Verification: Potential winners may be required to furnish Sponsor or Administrator with proof of eligibility and compliance with these Official Rules; and, failure to do so, or if proof of Official Rules compliance is determined to be inadequate in the sole discretion of Sponsor/Administrator, may result in disqualification and prize forfeiture. IF UNCLAIMED OR FORFEITED FOR ANY REASON, THE PRIZE FOR THE CORRESPONDING GIVEAWAY PERIOD WILL BE AWARDED VIA RANDOM DRAWING FROM AMONG ALL ELIGIBLE ENTRIES (I.E., REGISTRATIONS AND IMAGE “PLAYS,” REGARDLESS OF NOTIFICATION RECEIVED) FOR SUCH GIVEAWAY PERIOD. IF NECESSARY, RANDOM DRAWING(S) WILL BE CONDUCTED BY ADMINISTRATOR.

   If due to programming, electronic, seeding or other error of any kind, the number of winning plays and prize claims received during a given Giveaway Period exceed the quantity of prizes allocated to that Giveaway Period as per Rule 7 below (i.e., there is more than one [1] winning play and prize claim per Giveaway Period), only the indicated quantity of prizes allocated to that Giveaway Period (i.e., one [1] prize] will be awarded via a random drawing from among all eligible prize claimants for the prize in that Giveaway Period (provided that the prize for the applicable Giveaway Period has not already been awarded). IN NO EVENT WILL MORE THAN THE PRIZE QUANTITIES SET FORTH IN RULE 7 BELOW BE AWARDED IN THE GIVEAWAY.

   Odds of winning depend upon when the prize has been seeded during a given Giveaway Period and time that a participant plays during a given Giveaway Period.

   SPONSOR AND ADMINISTRATOR MAKE NO WARRANTY, REPRESENTATION OR GUARANTEE REGARDING ANY PRIZE, INCLUDING BUT NOT LIMITED TO THE WARRANTY OR MERCHANTABILTY OR FITNESS FOR THE INTENDED PURPOSE. THE ONLY WARRANTIES ARE THOSE OF THE PRIZE MANUFACTURER/SUPPLIER.

8. Additional Prize Restrictions: Limit one (1) of each prize per person/family/household during the Promotion Period. Any costs and incidentals not specified herein are the winner’s sole responsibility. Depending on prize won, such costs/incidentals may include installation of product and wireless service/Internet access charges. For apparel prizes, winner may not receive preferred color or size of item; for certain merchandise prizes, winner may not receive preferred color of item. No substitution or transfer of prize except with Sponsor’s permission or where required by law. Sponsor in its sole discretion may award a substitute prize or prize component of equal or greater value if advertised prize/prize component is unavailable at time of awarding for any reason. With the sole exception of Giveaway Period #19 Prize, prizes cannot be redeemed for cash or credit; such redemption of Giveaway Period #19 Prize is restricted to those jurisdictions which require same by law. Prizes will only be delivered to a street address in the (50) United States or the District of Columbia. Where prize features multiple components, Sponsor reserves the right to ship the various prize components separately. Any images of prizes/prize components in advertising are for illustrative purposes only and actual items awarded as prizes/prize components may differ from such images. All taxes are the sole responsibility of the winner.

9. Limitations of Liability: Sponsor and its agencies (including Administrator) are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to human, typographical, printing or electronic malfunction or damage of any network, hardware or software. If for any reason any Giveaway is not capable of running as planned (in whole or in part), including infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond Sponsor's control that corrupt or affect the administration, security, fairness, integrity or proper conduct of such Giveaway, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the affected Giveaway and/or disqualify any individual who tampers with (or attempts to tamper with) the entry process/prize claim process/operation of the affected Giveaway. In such event, Sponsor/Administrator shall conduct the affected Giveaway and make the corresponding prize available in a manner which is fair, appropriate and consistent with the spirit of these Official Rules, as determined by Sponsor/Administrator in their sole discretion. Notice of cancellation/termination/modification/suspension of Giveaway will be posted on the Website. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation, recordation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries or prize claims; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail, or electronic entry/prize claim to be received or recorded on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to entrant's or any other person's computer or mobile phone/device (or data/information stored thereon) related to or resulting from participation in or downloading any materials from Giveaway(s).

   The Released Parties (as defined in Rule 10 below) are not responsible for electronic communications that are undeliverable or do not reach entrant or prize claimant as a result of any form of active or passive filtering of any kind or insufficient space in a potential winner’s email or voicemail inbox to receive email or voicemail messages. Released Parties are not responsible, and may disqualify you, if your email address or other contact information does not work or is changed without prior written notice to Sponsor. Without limiting any other provision in these Official Rules, the Released Parties are not responsible or liable to any entrant or winner (or any person claiming through such entrant or winner) for failure to supply the prize in the event that any of the Giveaway activities or Released Parties’ operations or activities are affected by any cause or event beyond the sole and reasonable control of the applicable Released Party (as determined by Sponsor in its sole discretion), including, without limitation, by reason of any acts of God, equipment failure, threatened or actual terrorist acts, air raid, act of public enemy, war (declared or undeclared), civil disturbance, insurrection, riot, epidemic, fire, explosion, earthquake, flood, hurricane, unusually severe weather, blackout, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, any law, rule, regulation, action, order, or request adopted, taken, or made by any governmental or quasi-governmental entity (whether or not such governmental act proves to be invalid), or any other cause, whether or not specifically mentioned above.

   EACH ENTRANT (OR ANY PERSON CLAIMING THROUGH SUCH ENTRANT) UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER AGAINST THE RELEASED PARTIES. SECTION 1542 READS AS FOLLOWS:

   “CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

   Participants agree not to knowingly damage or cause interruption of the Giveaway and/or prevent others from participating in the Giveaway.

   CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE(S) OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE OR AN INDIVIDUAL OTHERWISE ATTEMPTS TO DEFRAUD SPONSOR OR ADMINISTRATOR, SPONSOR/ADMINISTRATOR, MAY DISQUALIFY ANY PARTICIPANT MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

   BY ENTERING THE GIVEAWAY, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE GIVEAWAY, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

   The preceding is subject to the dispute provision set forth in Section 11 below.

10. Additional Conditions of Participation: By participating, participants agree to be bound by and abide by these Official Rules and the decisions of Sponsor and Administrator, which shall be final and binding in all respects. By participating in this Giveaway, participants agree to release and hold harmless Sponsor, Administrator, Telescope Inc., each of their respective parents, subsidiaries, affiliated and successor companies, advertising and promotion agencies, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns, as well as Facebook Inc., and Twitter, Inc. (collectively, the "Released Parties") from any and all actions, claims, injury, death, loss or damage to person(s) or property arising in any manner, directly or indirectly, from participation in this Giveaway and/or acceptance, possession, receipt or use/misuse of any prize. By participating, participants also authorize the Sponsor and its designees to use the participant’s name, voice, likeness, photograph, prize information, biographical data and city and state of residence in programming, advertising, trade and/or promotional material or on a winners’ list (if applicable) without compensation or notice, to the extent permitted by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor's sole discretion, without obligation or compensation.

    This promotion is in no way sponsored, endorsed or administered by, or associated with Facebook, Inc. or Twitter, Inc.

11. Disputes: The parties each agree to finally settle all disputes only through arbitration; provided, however, the Released Parties shall be entitled to seek injunctive or equitable relief in the state and federal courts in Los Angeles County, California, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Giveaway or any prize awarded shall be resolved solely by binding arbitration before a sole arbitrator under the Streamlined Arbitration Rules & Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in Chicago, IL, New York City, NY, Los Angeles, CA, Atlanta, GA or Dallas, TX (whichever is closest to entrant’s residence); provided, however, if none of these locations are convenient for the hearing, the parties may mutually agree on an alternative location. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in Los Angeles County, California. Sponsor agrees to pay the administrative and arbitrator's fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court. To the fullest extent permitted by applicable law, each entrant waives any right to seek to enjoin or restrain the operation or exploitation of this Giveaway, any advertising or other materials issued in connection with the Giveaway, or any other Released Party property.

12. Miscellaneous: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s/Administrator’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Giveaway-related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
