It’s A Wonderful Lifetime “Bingo” Giveaway

OFFICIAL RULES

To enter this Giveaway, you must agree to and abide by these official rules (“Official Rules”).

This Giveaway is independent of the It’s A Wonderful Lifetime “Bingo” Giveaways being offered simultaneously by Sponsor on the website. Each Giveaway features its own prizing which is available to be won at different odds of winning. You may enter one or more of the Giveaways, as you wish.

1. Sponsor: A&E Television Networks, LLC, d/b/a A+E Networks, 235 E 45th St, New York, NY 11017 (“Sponsor”).

2. Administrator: Probability LLC, 2 Woodstock Meadows Ln, PO Box 1484, Woodstock, NY 12498 (“Administrator”).

3. Eligibility: There will be seven (7) individual It’s A Wonderful Lifetime “Bingo” Giveaways (each a “Giveaway” and collectively the “Giveaways”); each Giveaway corresponds to a specific holiday-themed movie being broadcast on the Lifetime television network during a specific time period as described below (each a “Movie”, collectively “Movies”) and one (1) Grand Prize Giveaway. Each Giveaway is open only to legal residents of the fifty (50) United States and the District of Columbia, who are at least eighteen (18) years of age (or age of majority in their jurisdiction of residence, whichever is older) at time of entry, have access to the Lifetime television network as of November 10, 2021, and have internet access/valid e-mail address as of November 10, 2021. Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for Sponsor, Administrator, Telescope Inc., related entities, any prize providers, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Giveaways and/or their respective parent, subsidiary, affiliated, distributors and successor companies, and immediate family and household members of such individuals, are not eligible to participate or win a prize. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. "Household Members" shall mean people who share the same residence at least three months a year, whether related or not. Potential winners may be required to provide proof of legal residency upon request prior to prize award. Void in Guam, Puerto Rico, U.S Virgin Islands and other U.S. Territories, and where prohibited or restricted by law.

4. Giveaway Schedule: The first Giveaway begins on or about 8:00:00 p.m. Eastern Time (“ET”) on November 11, 2021 and the last Giveaway end at 1:00:00 a.m. ET on December 24, 2021 (“Promotion Period”). There will be seven (7) separate and distinct Giveaway Periods and one (1) Grand Prize Giveaway Period each with its own prize (“Giveaway Period”) comprising the Promotion Period. Each Giveaway Period (except for the Grand Prize Giveaway) is tied to the initial broadcast of a corresponding Movie. Sponsor’s computer is the official clock for the Giveaway.

   In the unlikely event that the initial broadcast of a particular Movie on Lifetime television network is postponed, cancelled, pre-empted or re-scheduled due to any reason beyond Sponsor's control (including but not limited to weather or other emergency, breaking news, or other cause interfering with or interrupting or preventing altogether the initial broadcast of a particular Movie as intended), Sponsor reserves the right to refrain from offering the Giveaway for the affected Movie until such time as the Movie (as applicable) is initially broadcast on Lifetime television network. Notice of such action will be posted on https://www.mylifetime.com/holidaygames (“Website”) and on the Lifetime television network.

5. Giveaway Entry: During the Promotion Period you will have the opportunity to play up to seven (7) virtual “bingo” cards† (each a “Card”, collectively “Cards”). Each Card is unique and may be used to enter the Giveaway for the corresponding Movie and Giveaway Period. During each Giveaway Period, navigate the internet to the Website. If you are not logged in, you will be asked to sign in and/or register. When prompted, enter your e-mail address (your e-mail address will only be used to contact you if you are the potential Prize winner) and check the box acknowledging that you have read and agree to these Official Rules. YOU WILL NOT BE ABLE TO PARTICIPATE IN THE GIVEAWAY AND SEE IF YOU ARE A POTENTIAL WINNER IF YOU DO NOT FIRST AGREE TO THE OFFICIAL RULES. Once logged in, click the button to play (“Entry”). You will automatically be taken to the Card page. By clicking the “Submit” button on the Card page you will be notified whether or not you are the potential winner of the prize for the applicable Movie/Giveaway Period. A notification will appear indicating whether or not you are the potential winner of the prize for the applicable Movie/Giveaway Period. FOR THE AVOIDANCE OF DOUBT, PARTICIPATION IN THE GIVEAWAYS DOES NOT REQUIRE MATCHING SYMBOLS ON THE CARD OR PLAYING THE GAME OF BINGO. (If a notification of any kind is not displayed or such notification is garbled/corrupted/defective such that it is unclear whether or not an Entrant is the potential prize winner, such notification is void, with Sponsor and Administrator having no liability for same under any legal theory.)

   During the entry process, you may be asked to consent to receive promotional and reminder e-mails from Sponsor. Consenting to receive promotional and/or reminder e-mails is optional and does not have to be agreed upon in order to be eligible to participate in the Giveaway and does not improve your chances of winning. In the event you do consent to receive these e-mails, the use of such e-mails shall be subject to the privacy policy at https://www.aenetworks.com/privacy. You may opt out of receiving these e-mails at any time.

   YOUR ENTRY IS VALID FOR A CHANCE TO WIN THE PRIZE ONLY DURING THE CORRESPONDING MOVIE/GIVEAWAY PERIOD AND THE GRAND PRIZE GIVEAWAY PERIOD; FOR A CHANCE TO WIN ANOTHER PRIZE IN ANOTHER MOVIE/GIVEAWAY PERIOD AND ANOTHER CHANCE TO WIN THE GRAND PRIZE, YOU MUST REGISTER AGAIN DURING THE CORRESPONDING MOVIE/GIVEAWAY PERIOD AND OBTAIN A CARD FOR THAT MOVIE/GIVEAWAY PERIOD.

   ALL PRIZE CLAIMS ARE SUBJECT TO VERIFICATION BY SPONSOR/ADMINISTRATOR. SCREEN SHOTS ARE NOT PROOF OF WINNING; YOU ARE NOT A WINNER OF ANY PRIZE, EVEN IF THE WEBSITE SHOULD SO INDICATE, UNLESS AND UNTIL YOUR ELIGIBILITY, AND YOUR POTENTIALLY WINNING ENTRY HAVE BEEN VERIFIED BY SPONSOR/ADMINISTRATOR, AND YOU HAVE BEEN NOTIFIED BY SPONSOR/ADMINISTRATOR THAT SUCH VERIFICATION IS COMPLETE.

   †Cards are valid only for participation in the corresponding Movie/Giveaway by the entrant who received same directly from Sponsor/Administrator in accordance with these Official Rules. Cards have no cash value and are not redeemable or exchangeable for cash. Cards are only valid if obtained on the Website. Purchase/sale or transfer of Cards is prohibited. Cards are void if used in a manner other than as set forth in these Official Rules.

   Entries generated by a script, macro, or other automated means or by any means that subverts the registration, Card “play” or prize claim process (as determined by Sponsor/Administrator in their sole discretion) will be disqualified. Without limiting the foregoing, any attempt to falsify, manipulate or tamper with registrations, notifications or Cards is prohibited and will result in automatic disqualification as well as exposing the person suspected of such conduct to potential legal sanctions.

   As set forth in Rule 7 below, there is only one (1) winning Card for each Movie/Giveaway Period; and, the winning Card for each Movie/Giveaway Period has been randomly paired with a certain winning time during that Giveaway Period (the winning time also being randomly pre-selected.) The first person who submits an Entry (i.e., registers and plays a Card) at or after the randomly pre-selected winning time paired with the winning Card for a given Movie/Giveaway Period (as recorded by Sponsor’s computer) is the potential winner of the prize for that Movie/Giveaway Period, subject to verification. Entries, Cards and prize claims that are incomplete, garbled, corrupted, jumbled, improperly recorded (or not recorded at all) or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted. In case of a dispute over the identity of an entrant or prize claimant, the authorized account holder of the email address used to enter will be deemed to be the entrant or prize claimant. “Authorized account holder” is defined as the person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Entry constitutes permission (except where prohibited by law) to use entrant’s name, city, state, likeness, image, and/or voice for purposes of advertising, promotion, and publicity in any and all media now or hereafter known, throughout the world in perpetuity, without compensation, notification, permission, or approval.

   If you choose to participate in the Giveaway(s) by using your (compatible) wireless mobile device, data rates may apply for each message sent or received from your handset according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges as well as charges for wireless Internet access) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers' rate plans may vary, and you should contact your wireless carrier for more information on messaging rate plans and charges relating to your participation in the Giveaway(s). Mobile device service may not be available in all areas. Check your phone's capabilities for specific instructions.

6. Grand Prize Random Drawing: Potential Grand Prize winner will be selected from among all eligible entries received via random drawing. Random drawing will take place on or about December 27, 2021. The Grand Prize drawing will consist of all eligible entries received during the Promotion Period (regardless Giveaway Period entered); if an entry is eligible for a Giveaway Period, it will be automatically included in the Grand Prize drawing as well. The drawing will be conducted by Administrator, an independent judging organization/administrator whose decisions are final and binding on all matters related to the Giveaway.

7. Winner VerificationIf you receive a winning notification during a Giveaway Period or are selected as a potential Grand Prize winner via the random drawing (as described above) you will be notified via email by Administrator with prize claim instructions. Potential winners will be required to furnish Sponsor/Administrator with proof of eligibility and compliance with these Official Rules; failure to do so will result in disqualification and prize forfeiture. Potential winners will be required to sign an Affidavit of Eligibility, Release and Indemnification, and a Publicity Release where allowed by law within three (3) business days of notification. If the Affidavit of Eligibility, Release and Indemnification and Publicity Release is not signed and returned within the allotted timeframe by the potential winner (if applicable), potential winner may be disqualified, and the prize forfeited. In addition, if potential prize winner is determined to be ineligible or in violation of these Official Rules, if he/she cannot be contacted for any reason or if prize is returned as undeliverable, such potential winner will be disqualified, and the prize forfeited. IF UNCLAIMED OR FORFEITED FOR ANY REASON, THE PRIZE FOR THE CORRESPONDING MOVIE/GIVEAWAY PERIOD WILL BE AWARDED VIA RANDOM DRAWING FROM AMONG ALL ELIGIBLE ENTRIES (I.E., REGISTRATIONS AND CARD “PLAYS,” REGARDLESS OF NOTIFICATION RECEIVED) FOR SUCH MOVIE/GIVEAWAY PERIOD. IF NECESSARY, RANDOM DRAWING(S) WILL BE CONDUCTED BY ADMINISTRATOR.

8. Prizes/Odds/Approximate Retail Value (“ARV”):

   Movie Prizes (one (1) prize per Movie/Giveaway Period, seven (7) total prizes): Each winner will receive one (1) $5,000.00 prize to be awarded in the form of a check in the winner’s name.

   Grand Prize (one (1) prize): Grand Prize winner will receive $25,000.00 to be awarded in the form of a check in the winner’s name.

   Total value of all prizes: $60,000.00.

   Odds of winning the prize for a given Movie/Giveaway Period depends on the number of eligible Entries (i.e., registrations and Card “plays”) for that Movie/Giveaway Period as well as when a given eligible person submits an Entry for that Movie/Giveaway Period. Odds of winning the Grand Prize depends on the total number of eligible Entries received during the Promotion Period.

   Prizes will be delivered in e-form to the email address supplied during the time of registration. Prizes are not redeemable or exchangeable for cash except where required by applicable law.

   SPONSOR AND ADMINISTRATOR MAKE NO WARRANTY, REPRESENTATION OR GUARANTEE REGARDING ANY PRIZE, INCLUDING BUT NOT LIMITED TO THE WARRANTY OR MERCHANTABILTY OR FITNESS FOR THE INTENDED PURPOSE. THE ONLY WARRANTIES ARE THOSE OF THE ISSUER OF THE GIFT CARD.

9. Additional Prize Restrictions: Limit one (1) Movie Prize per person during the Promotion Period. Any costs and incidentals not specified herein are the winner’s sole responsibility. No substitution or transfer of prize except with Sponsor’s permission or where required by law. Sponsor in its sole discretion may award a substitute prize of equal value if advertised prize is unavailable at time of awarding for any reason. All taxes (including, without limitation, U.S. federal, provincial, state and local taxes (including, but not limited to income and withholding taxes), sales taxes, as applicable on or connected with any prize, the shipment of any prize element, as applicable, and the reporting consequences thereof, and any other expenses not specifically included in the prize description are the sole responsibility of the Winner. The prize winners will receive an IRS Form 1099-MISC reflecting the total fair market value of his/her prize.

10. Limitations of Liability: Sponsor and its agencies (including Administrator) are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to human, typographical, printing or electronic malfunction or damage of any network, hardware or software. If for any reason any Giveaway is not capable of running as planned (in whole or in part), including infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond Sponsor's control that corrupt or affect the administration, security, fairness, integrity or proper conduct of such Giveaway, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the affected Giveaway and/or disqualify any individual who tampers with (or attempts to tamper with) the entry process/Card “play” process/prize claim process/operation of the affected Giveaway. The preceding includes but is not limited to any irregularity or defect in Cards distributed to entrants or any delay in distributing Cards to entrants for any reason as determined by Sponsor/Administrator in their sole discretion. In such event, Sponsor/Administrator shall conduct the affected Giveaway and make the corresponding prize available in a manner which is fair, appropriate and consistent with the spirit of these Official Rules, as determined by Sponsor/Administrator in their sole discretion. Notice of cancellation/termination/modification/suspension of Giveaway will be posted on the Website. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation, recordation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries, Cards or prize claims; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail, or electronic entry/Card/prize claim to be received or recorded on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to entrant's or any other person's computer or mobile phone/device (or data/information stored thereon) related to or resulting from participation in or downloading any materials from Giveaway(s).

    The Released Parties (as defined in Rule 11 below) are not responsible for electronic communications that are undeliverable or do not reach entrant or prize claimant as a result of any form of active or passive filtering of any kind or insufficient space in a potential winner’s email or voicemail inbox to receive email or voicemail messages. The preceding includes but is not limited to Cards and notifications as to the result of Card “plays.” Released Parties are not responsible, and may disqualify you, if your email address or other contact information does not work or is changed without prior written notice to Sponsor. Without limiting any other provision in these Official Rules, the Released Parties are not responsible or liable to any entrant or winner (or any person claiming through such entrant or winner) for failure to supply the prize in the event that any of the Giveaway activities or Released Parties’ operations or activities are affected by any cause or event beyond the sole and reasonable control of the applicable Released Party (as determined by Sponsor in its sole discretion), including, without limitation, by reason of any acts of God, equipment failure, threatened or actual terrorist acts, air raid, act of public enemy, war (declared or undeclared), civil disturbance, insurrection, riot, epidemic, fire, explosion, earthquake, flood, hurricane, unusually severe weather, blackout, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, any law, rule, regulation, action, order, or request adopted, taken, or made by any governmental or quasi-governmental entity (whether or not such governmental act proves to be invalid), or any other cause, whether or not specifically mentioned above. The preceding includes but is not limited to any event beyond Sponsor's control (e.g., weather or other emergency; breaking news) which interferes with, interrupts or prevents altogether the intended initial broadcast on Lifetime television network of one or more of the Movies as scheduled during the corresponding Giveaway Periods, as determined in the sole discretion of Sponsor and Administrator.

    EACH ENTRANT (OR ANY PERSON CLAIMING THROUGH SUCH ENTRANT) UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER AGAINST THE RELEASED PARTIES. SECTION 1542 READS AS FOLLOWS:

    “CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

    Participants agree not to knowingly damage or cause interruption of the Giveaway and/or prevent others from participating in the Giveaway.

    CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE(S) OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE OR AN INDIVIDUAL OTHERWISE ATTEMPTS TO DEFRAUD SPONSOR OR ADMINISTRATOR, SPONSOR/ADMINISTRATOR, MAY DISQUALIFY ANY PARTICIPANT MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

    BY ENTERING THE GIVEAWAY, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE GIVEAWAY, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

    The preceding is subject to the dispute provision set forth in Section 13 below.

11. Additional Conditions of Participation: By participating, participants agree to be bound by and abide by these Official Rules and the decisions of Sponsor and Administrator, which shall be final and binding in all respects. By participating in this Giveaway, participants agree to release and hold harmless Sponsor, Administrator, Telescope Inc., each of their respective parents, subsidiaries, affiliated and successor companies, advertising and promotion agencies, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns, as well as Facebook Inc., and Twitter, Inc. (collectively, the "Released Parties") from any and all actions, claims, injury, death, loss or damage to person(s) or property arising in any manner, directly or indirectly, from participation in this Giveaway and/or acceptance, possession, receipt or use/misuse of any prize. By participating, participants also authorize the Sponsor and its designees to use the participant’s name, voice, likeness, photograph, prize information, biographical data and city and state of residence in programming, advertising, trade and/or promotional material or on a winners’ list (if applicable) without compensation or notice, to the extent permitted by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor's sole discretion, without obligation or compensation.

    This promotion is in no way sponsored, endorsed or administered by, or associated with Facebook, Inc. or Twitter, Inc.

12. Disputes: The parties each agree to finally settle all disputes only through arbitration; provided, however, the Released Parties shall be entitled to seek injunctive or equitable relief in the state and federal courts in Los Angeles County, California, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Giveaway or any prize awarded shall be resolved solely by binding arbitration before a sole arbitrator under the Streamlined Arbitration Rules & Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party (where party/participant is a minor, his/her parent or legal guardian) can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in Chicago, IL, New York City, NY, Los Angeles, CA, Atlanta, GA or Dallas, TX (whichever is closest to entrant’s residence); provided, however, if none of these locations are convenient for the hearing, the parties may mutually agree on an alternative location. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in Los Angeles County, California. Sponsor agrees to pay the administrative and arbitrator's fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court. To the fullest extent permitted by applicable law, each entrant waives any right to seek to enjoin or restrain the operation or exploitation of this Giveaway, the broadcast of the Movies, any advertising or other materials issued in connection with the Giveaway or the Movies, or any other Released Party property.

13. Miscellaneous: The invalidity or unenforceability of any provision of these Official Rules or the Affidavit (if applicable) will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Affidavit (if applicable) is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s/Administrator’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Giveaway-related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
